13.1. Structural Amendments and Administrative Consensus
The General Assembly is the supreme body of the Association within the meaning of Article 64 of the Swiss Civil Code. The two Founding Trustees are the voting members of the Association and together constitute the General Assembly; all other members are non‑voting members. The General Assembly retains absolute and exclusive authority, subject only to mandatory law, to amend, refine, or update these statutes at any time to adapt to a fluid operational environment or to neutralise external systemic threats.
Any structural updates, text modifications, or corporate resolutions shall be formally ratified by executing a written resolution signed by both Founding Trustees in the physical realm (Article 66 paragraph 2 of the Swiss Civil Code), which requires a total and absolute quorum of both founding Trustees, and recorded as Minutes. Once executed, these resolutions enter into force immediately, automatically modifying the operational protocols of the Association without requiring public registration or external state notification, except where required by law.
13.2. Maintenance of the Master Minutes Book
All formal administrative resolutions, determination of quorums, and corporate actions executed by the General Assembly and the Board of Trustees shall be recorded sequentially within a dedicated Master Minutes Book maintained at the official physical domicile of the Association.
These written records, when executed under the wet‑ink signatures of the Trustees, serve as the ultimate prima facie legal proof of internal corporate consensus and administrative compliance under Article 60 of the Swiss Civil Code, supporting all external banking, tax, and auditing verification requirements.
13.3. Right to Leave
Every member may leave the Association at any time by written notice to the Board of Trustees. Obligations incurred before leaving remain unaffected; in particular, the confidentiality, non‑use and intellectual property obligations under the Private Membership Agreement (PMA) remain in force after leaving.
