Statutes: Article I

Legal Foundation, Seat and Architecture

1.1. Corporate Form and Governing Law

There is hereby established a planetary non‑commercial, non‑profit association governed by the present Statutes and Articles 60 to 79 of the Swiss Civil Code (SCC). This entity shall operate as an independent private association, remaining unregistered with public commercial registries unless and until the explicit, irreversible milestone triggers defined in Article VIII, Section 8.3 are legally activated, or registration is required by law (Art. 61 para. 2 SCC).

1.2. Name and Identity

The official name of the Association shall be the RA‑Energy Association. Its descriptive title is the Planetary Association for Decentralised Breakthrough Renewable Electromagnetic Energy. All planetary operations, intellectual property protections, decentralised network validations, and cryptographic accounting protocols shall be executed exclusively under this denomination. All technical and community infrastructure shall integrate decentralised, censor‑free, surveillance‑free, and private communications to protect the autonomous and confidential interactions of its members, in compliance with applicable law.

1.3. Seat and Official Physical Domicile

The official seat, statutory headquarters, and administrative physical domicile of the Association are established in Préverenges, within the Canton of Vaud, Switzerland. For the purposes of corporate bank accounting, compliance auditing, and public‑facing regulatory communications, the Association maintains its physical registration address at:

Chemin des Uttins 2, 1028 Préverenges, Vaud, Switzerland.

1.4. The Board of Trustees and Governance

The Association shall be governed, managed, and legally anchored by a Board of Trustees, which shall constitute the Committee (executive body) within the meaning of Article 69 of the Swiss Civil Code. The Board consists of two Founders: Anil Goel, serving as the Trustee Guardian, and Joyti Goel, serving as the Executive Trustee. To ensure the safety, digital shielding, and systemic privacy of the Founders' wider family lineage, no other family members or relatives shall be named, registered, or associated with any legal ledger, asset registry, or public record of this ecosystem, except where required by law. Joyti Goel is hereby designated as the President of the Board of Trustees, vested with sole, individual signing authority to legally bind the Association in all matters, including financial and banking operations.

Each Founding Trustee may designate a successor in writing, to be kept in the Master Minutes Book. Upon the Founding Trustee's death, incapacity or resignation, the designated successor takes over their seat on the Board of Trustees and their voting rights in the General Assembly. Failing such designation, the remaining Founding Trustee designates the successor.

1.5. Official Language and Governing Text

The official operating, administrative, and scientific language of the Association shall be English. All planetary operations, internal records, statutes, textbooks, and the Joint Commission Report shall be drafted and executed in English.

These Statutes are also adopted in French. The French version shall prevail in relations with the authorities of the Canton of Vaud and other Swiss authorities. In all other cases, the original English version shall remain the absolute, supreme, and legally governing text for all internal interpretations, private jurisdiction frameworks, and planetary ecosystem agreements. Translations into other languages are for information only.

1.6. Definitions

In these Statutes, "sovereign human being operating as an autonomous individual" means a natural person with full legal capacity who acts of their own free will and on their own responsibility.

"Private jurisdiction framework" means the internal rules and procedures of the Association that apply among its members by virtue of these Statutes and the member agreements, without prejudice to the jurisdiction of the Swiss courts and to mandatory law.

The Association introduces new concepts and a new vocabulary for which no existing reference point exists. Words such as "equivalence", "equivalent" or "successor", used in relation to external systems (such as patent, treaty, monetary or cryptocurrency systems), serve as bridges to understanding and do not imply equivalent legal status.

References in the member agreements to the "Jurisdiction of the Courts of Equity" designate the private jurisdiction framework of the Association.
